What is a Company?

According to the Companies Act, 1956, a Company is an association of people which is formed and registered under this Act or any previous company laws. A company is a separate legal entity which is different from its shareholders. It is an important feature of Company that there is a difference between people who have control over the affairs of a Company and the people who actually own it.

What are the types of Companies?

  • One Person Company (OPC)
  • Private Limited Company
  • Public Limited Company
  • Non-Profit Organizations (Sec. 25 Companies)
  • Process of Company Incorporation and document requirements

    1) For Name Approval

    The following documents are required for approval of name, only if required
    1. Name should be unique and distinct from existing companies and trademark (for more details person may contact us or review our article on the reservation of name of company)
    2. Approval from regulators like RBI, IRDA, SEBI etc, if any
    3. NOC of Trademark Owner, if any
    4. Board resolution from the Holding Company in case of incorporation of Subsidiary Company

    2) For DSC Application

    1. Copy of Self-attested PAN
    2. Copy of Self-attested Address Proof
    3. Photo of the Applicant
    4. Valid E-mail ID of the Applicant
    5. Valid Mobile Number of the Applicant

    3) For DIN (Director Identification Number) Application

    The following documents are required for approval of name, only if required
    1. Self-attested ID proof apart from PAN
    2. Self-attested copy of Utility bill not older than 2 months
    3. Occupation
    4. Education Qualification
    5. Place of Birth
    6. Duration of stay at the current address

    4) For Company Incorporation

    1. ID proof and Address Proof of the Promoters
    2. Authorized Capital and the proportion of contribution
    3. Objects of the Company
    4. Utility bill for registered office of the Company
    5. Proof of ownership along with NOC of the owner
    6. ID and Address Proof Applicant
    7. Declaration by the First Subscriber and the Directors of the Company
    8. In the case of Foreign Subscribers, MOA and AOA in hard copies

    LLP Incorporation

    What is LLP?

    A limited liability partnership (LLP) is a partnership in which some or all partners (depending on the jurisdiction) have limited liabilities. It therefore can exhibit elements of partnerships and corporations. In a LLP, each partner is not responsible or liable for another partner's misconduct or negligence

    Process for the Incorporation of an LLP

  • Appoint/nominate partners and designated partners.
  • Obtain the DPINs and Digital Signature Certificates (DSCs)
  • Register a unique LLP name (applicant can indicate up to 6 choices)
  • Draft the LLP Agreement.
  • File the required documents, electronically.
  • Documents Required For LLP Registration

    1. Latest passport size Photographs of all partners
    2. PAN ( Permanent Account Number) of all Partners (Minimum 2)
    3. Identity Proof of each partner, (Aadhar Card, Passport, Driving License or Voter ID Card)
    4. Address Proof of all partners (Bank Statement or Passbook, electricity bill, telephone bill, Aadhar card or any utility bill)
    5. Copy of Mobile bill, telephone bill, electricity bill or Bank Statement of all Partners with Present address
    6. Registered Office Address Proof – Electricity Bill along with Rent Agreement / ownership proof of proposed registered office.
    7. Stamp paper for LLP Agreement of State where LLP is to be Incorporated
    8. Documents must be self-attested
